Selling a healthcare agency in Texas

Riverbluff Advisors is a healthcare business broker that sells independent, owner-operated hospice, home health, home care, and PAS agencies across Texas. Texas is where our buyer coverage is deepest, from Houston and Dallas–Fort Worth to San Antonio, Austin, and the Rio Grande Valley.

Texas agency types we sell

Texas licenses home health, hospice, and personal care providers as Home and Community Support Services Agencies (HCSSAs). We sell all four main license categories:

  • Hospice: usually Medicare-certified. Buyers price census, cap position, and survey history.
  • Licensed home health: a state license without Medicare certification. Usually valued on earnings and payer contracts.
  • Licensed and certified home health: Medicare-certified. Whether the Medicare enrollment can transfer drives most of the value.
  • Personal assistance services (PAS): non-medical care, usually paid through Medicaid managed care. Buyers look at client count, weekly hours, and which contracts move with the sale.

How a Texas agency sale works

Your Texas license does not transfer to the buyer. Under Texas rules, the buyer applies to HHSC for a new license through a change of ownership application, ideally at least 30 days before the sale date. The new license takes effect on the change of ownership date, and your license stays active until the buyer's is issued.

HHSC follows up after the sale. HHSC usually inspects the agency after issuing the new license. If less than half the ownership changes, or every new owner was already an owner, HHSC may do a desk review instead.

Medicare-certified agencies have a second clock. For certified hospices and home health agencies, the federal change of ownership rules apply on top of the state process, including the CMS 36-month rule. We check where your agency stands before anything is marketed.

Medicaid contracts set the timeline for PAS and home care. Managed care plans and HHSC contracts often need the buyer credentialed or the plan's consent before closing. We review every contract up front so the closing date holds.

Texas seller questions

How long does a Texas agency sale take?

Most take four to eight months from engagement to closing. The state change of ownership takes at least 30 days, and Medicare and Medicaid approvals usually set the final timeline.

Can I sell a PAS agency that has Medicaid contracts?

Yes. PAS agencies with active managed care contracts are in demand. The buyer usually has to be credentialed with each plan, so we confirm what each contract requires before going to market.

Can I sell a Texas agency with few or no patients?

Yes. An agency with an active license and Medicare certification has value on its own, because it saves a buyer the time of getting licensed and certified from scratch.

Do I need a Texas attorney?

Yes. We coordinate with your attorney on the purchase agreement and filings, but we do not give legal advice.

What does it cost?

Nothing until closing. Our fee is a success fee paid when the sale closes.
